These Terms & Conditions (“Terms”) govern your access to and use of the website https://kbbcph.com (the “Website”) and all ordering, purchasing, and delivery services (collectively, the “Services”) provided by Kathy Borja Business Center (“KBBC”, “we”, “our”, or “us”).

By creating an account, placing an order, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

KBBC operates the Website and provides products and related services through our online platform.

2. Eligibility & User Accounts

By using our Services, you represent and warrant that:

You are at least 18 years old and legally capable of entering into a binding agreement; or
You are using the Services under the supervision or consent of a parent or legal guardian.

You agree to:

Provide accurate, current, and complete information;
Maintain and promptly update your account information;
Keep your account credentials secure; and
Accept responsibility for all activity conducted under your account.

KBBC reserves the right to suspend or terminate accounts that contain inaccurate information, violate these Terms, or are suspected of fraudulent activity.

3. Products, Availability & Pricing

All products are offered subject to availability. We reserve the right to:

Limit product quantities;
Discontinue products without prior notice;
Correct inventory inaccuracies or pricing errors; and
Modify product information, descriptions, or prices at any time.

All prices are displayed in Philippine Peso (PHP) and may change without prior notice.

The applicable price for your order is the price displayed at the time your order is accepted.

While we strive to ensure product descriptions, pricing, and images are accurate, errors may occasionally occur. If an error affects your order, we will notify you and provide the option to proceed at the corrected price or cancel the order for a full refund.

4. Orders & Acceptance

Submitting an order constitutes an offer to purchase.

An order confirmation email or message only confirms that we have received your order and does not constitute acceptance.

A binding agreement is formed only once:

We confirm acceptance of your order; and/or
Your order has been dispatched for delivery.

KBBC reserves the right to reject, suspend, or cancel any order before delivery for reasons including but not limited to:

Product unavailability;
Pricing or listing errors;
Suspected fraud or unauthorized activity;
Incorrect shipping details; or
Delivery limitations outside our serviceable areas.

In cases where payment has already been made for a cancelled order, an appropriate refund will be issued.

5. Payment

We accept payment methods made available at checkout, which may include:

Credit/Debit Cards (processed securely through Xendit or authorized payment providers)
GCash and other e-wallets
Bank transfer
Cash on Delivery (COD), where available

All online payments are processed by trusted third-party payment providers. By completing a payment, you also agree to the applicable terms and policies of those providers.

For security purposes, KBBC does not store full card details.

We reserve the right to verify payment information before processing or dispatching an order.

6. Delivery

KBBC delivers only to designated serviceable areas. Delivery availability may vary depending on location.

Estimated delivery windows shown at checkout are provided for convenience only and may be affected by factors beyond our reasonable control, including:

Traffic delays
Weather conditions
Courier or logistics disruptions
Government restrictions or emergencies

Customers must ensure that someone is available to receive and inspect the order at the delivery address.

Risk of loss and ownership of products transfer to the customer upon successful delivery and acceptance of the order.

Applicable delivery fees, minimum order values, and promotional delivery terms (if any) will be displayed during checkout.

7. Order Changes & Cancellations

You may request to modify or cancel an order before it has been processed or dispatched.

Once an order has been shipped or delivered, cancellations, returns, and refunds shall be governed by our Refund & Return Policy.

KBBC reserves the right to deny cancellation requests once order fulfillment has begun.

8. Customer Responsibilities

By using our Services, you agree not to:

Use the Website for unlawful or fraudulent activities;
Attempt to interfere with the Website’s functionality or security;
Place false, abusive, or speculative orders;
Upload harmful software, malware, or viruses;
Misrepresent identity or payment information; or

All content available on the Website — including but not limited to logos, branding, text, graphics, product photos, website design, and visual materials — is the exclusive property of KBBC or its licensors and is protected under applicable intellectual property laws.

No content may be copied, reproduced, modified, distributed, or used for commercial purposes without prior written permission from KBBC.

10. Disclaimer & Limitation of Liability

The Website and Services are provided on an “as is” and “as available” basis.

While we make reasonable efforts to maintain accurate and uninterrupted Services, KBBC does not guarantee that:

The Website will always be available, secure, or error-free;
Product information will always be complete or free from inaccuracies; or
Services will operate without interruption.

To the fullest extent permitted by Philippine law, KBBC shall not be liable for indirect, incidental, special, or consequential damages arising from the use of the Services.

Nothing in these Terms limits any consumer rights available under the Consumer Act of the Philippines (Republic Act No. 7394) or other applicable laws, including rights relating to defective, unsafe, or misrepresented products.

Where liability is established, KBBC’s total liability shall not exceed the amount paid for the affected order.

11. Indemnification

You agree to indemnify, defend, and hold harmless KBBC, its owners, employees, affiliates, and partners against claims, liabilities, losses, damages, and expenses arising from:

Your violation of these Terms;
Fraudulent or unlawful activity;
Misuse of the Services; or
Violation of third-party rights.

12. Force Majeure

KBBC shall not be held liable for delays, interruptions, or failure to perform obligations caused by circumstances beyond our reasonable control, including but not limited to:

Natural disasters
Power outages
Internet disruptions
Fuel shortages
Strikes or labor disputes
Government actions or emergencies

13. Governing Law & Dispute Resolution

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of the Philippines.

Any dispute arising from these Terms or use of the Services shall be subject to the jurisdiction of the proper courts of Toledo City, Cebu, Philippines.

Before initiating legal action, customers are encouraged to contact KBBC first so both parties may attempt to resolve concerns amicably.
